The SBA issued important guidance to SBA employees and PPP Lenders on Saturday, October 2nd with reference to transfers of ownership in PPP borrower entities and their assets. The purpose of the Notice is to provide information concerning the required procedures for changes of ownership of an entity that has received Paycheck Protection Program funds. More specifically, the Notice provides guidelines on when permission or escrow arrangements will be required to allow borrowers to have changes in ownership or transfers of assets without being in breach of PPP loan rules.
